The filings that carry a daily penalty
Annual ROC compliance is a fixed set of forms tied to your AGM date. AOC-4 carries the financial statements, MGT-7 carries the annual return, and ADT-1 records the auditor. Miss any of them and the additional fee runs per day, per form, with no cap.
Investors and acquirers read these filings first during due diligence. A clean MCA record costs a few thousand rupees a year to maintain, and reconstructing three missed years costs considerably more.
Best suited to
- Companies that missed a filing last year
- Founders who have never held a formal board meeting
- Startups preparing for due diligence
- Directors who received a DIR-3 KYC deactivation notice
Documents you need
- Audited financial statements for the year
- Auditor's report and board report
- Details of shareholding and any changes during the year
- Board and general meeting dates
- Director KYC details and digital signatures
Scanned copies are enough to begin. We check every document against the department's current format before filing, because a rejected form costs more time than a resubmitted scan.
How the filing runs

We work with your auditor to close the accounts, because every ROC form takes its numbers from the signed financials.
Meetings and minutes
Board meeting and AGM documentation is drafted properly, since the filing dates are counted from the AGM.
Form preparation
AOC-4, MGT-7 or MGT-7A and ADT-1 are prepared together so the numbers agree across all three.
Filing and registers
Forms are filed, acknowledgements are stored, and your statutory registers are updated to match.

Annual ROC filing questions
What are the ROC due dates?
AOC-4 is due within 30 days of the AGM and MGT-7 within 60 days. DIR-3 KYC is due by 30 September each year for every director holding a DIN.
What is the penalty for late ROC filing?
AOC-4 and MGT-7 carry an additional fee of 100 rupees per day per form, with no upper cap. A single form left for a year costs more than several years of professional fees.
Does a company with no revenue still file?
Yes. A dormant or zero revenue company files the same annual forms. The most common penalty we clean up comes from founders who assumed no business meant no filing.
What happens if DIR-3 KYC is missed?
The DIN is deactivated and the director cannot sign any filing until it is reactivated with a late fee. It also blocks every other form the company needs to submit.
