Pick the structure, then register it
The structure you register decides who is liable for the debts, how you are taxed, what you file every year, and whether an investor can put money in without a restructuring first. Changing it later is possible, and it always costs more than choosing correctly on day one.
Most funded startups end up as private limited companies. Most professional practices end up as LLPs. Most single owner businesses start as a proprietorship and convert once revenue or risk grows. The table below is the short version of that conversation.
What you get either way
- A chartered accountant assigned to your file

Registrations questions
Which structure should a first time founder pick?
If you expect outside investment, hiring on equity, or contracts that need a separate legal entity, a private limited company is the default. If none of those apply and you are one or two people selling services, an LLP or a proprietorship costs less to run and files far less every year.
Can I change the structure later?
Yes. Proprietorships convert to companies, partnerships convert to LLPs, LLPs and OPCs convert to private limited companies. Each conversion is a filing with its own documents and fee, which is why the first choice is worth twenty minutes of thought.
How much capital do I need to register a company?
There is no minimum paid up capital for a private limited company, an LLP or an OPC. Authorised capital does affect the stamp duty payable at incorporation, so we set it at a level that matches your first year rather than an arbitrary round number.
Do I need a commercial office address?
No. A residential address works for all of these structures. You need the electricity bill for the premises and a no objection letter from the owner, and the address can be changed later once you move into an office.
Not sure which one you need
Describe the business in a line. A chartered accountant tells you which of these applies, what it costs and how long it takes.
