The filing is the short part
Changing a company name is a defined sequence: board resolution, name reservation, special resolution, MGT-14, INC-24, fresh certificate. Two to three weeks if the name is available and the resolutions are drafted properly.
The long part is everything downstream. PAN, TAN, GST, bank accounts, every licence, the statutory registers, invoices, contracts and the signboard all still carry the old name, and the entity remains legally the same company throughout.
Best suited to
- Companies rebranding after a pivot
- Businesses that lost a trademark dispute over the name
- Groups aligning a subsidiary with the parent brand
- Companies whose name no longer matches their objects
Documents you need
- Certificate of incorporation and current MOA and AOA
- Board resolution approving the change
- Notice and minutes of the general meeting
- The proposed names in order of preference
- Trademark details if the new name is a registered mark
- Digital signatures of the signing director
Scanned copies are enough to begin. We check every document against the department's current format before filing, because a rejected form costs more time than a resubmitted scan.
How the filing runs
Get free consultationBoard resolution and name check
The board approves the change and we run the proposed name against the MCA register and the trademark database before reserving it.
Reservation and special resolution
The name is reserved, then a general meeting passes the special resolution altering the memorandum.
MGT-14 and INC-24
The resolution is filed in MGT-14 within thirty days, and INC-24 seeks approval for the change.
New certificate and the cleanup
A fresh certificate of incorporation is issued, and we list every downstream record that still carries the old name.

Name change questions
Does a name change affect the company's legal identity?
No. The CIN, the PAN, the contracts and the liabilities all continue. Only the name changes, which is why the company keeps its incorporation date on the new certificate.
What has to be updated afterwards?
PAN, TAN, GST registration, bank accounts, every licence and registration, statutory registers, the common seal if you use one, letterheads, invoices and the board outside your office. The MCA filing is the start of the job, not the end.
Can any name be taken?
No. It has to be available on the MCA register, must not be identical or too similar to an existing company or a registered trademark, and must fit the naming rules. A name that clears the MCA can still draw a trademark objection, so both registers are worth checking.
How long before we can use the new name?
From the date on the fresh certificate of incorporation. Using it before that on invoices or contracts creates avoidable confusion about which entity contracted.
