Where an LLP fits better than a company
An LLP gives partners limited liability without the board meetings, share registers and resolution paperwork a company carries. For a services firm with two or three principals, that difference shows up every quarter.
The trade off is equity. An LLP cannot issue shares or ESOPs, so venture investors will ask you to convert before they wire money. Firms that intend to stay partner owned rarely find that a problem.
Best suited to
- Professional practices such as design, law, consulting and architecture
- Partner led firms with no plan to issue equity
- Businesses that want limited liability without board meeting formalities
- Families running a services business together
Documents you need
- PAN and Aadhaar of every designated partner
- Passport size photograph of each partner
- Bank statement or utility bill not older than two months
- Electricity bill for the registered office premises
- No objection letter from the owner of the premises
- Details of the agreed profit sharing ratio
Scanned copies are enough to begin. We check every document against the department's current format before filing, because a rejected form costs more time than a resubmitted scan.

LLP questions
How is an LLP different from a private limited company?
An LLP has partners rather than shareholders, no board meeting requirements and lighter annual filings. It cannot issue equity shares or ESOPs, which is why funded startups pick a private limited company instead.
How many partners does an LLP need?
At least two designated partners, and at least one of them must be resident in India. There is no upper limit on the number of partners.
What happens if the LLP agreement is not filed in time?
Form 3 is due within 30 days of incorporation. Late filing attracts a daily additional fee that keeps running until the form is accepted, so we treat the agreement as part of the incorporation job rather than a follow up task.
What are the annual filings for an LLP?
Form 11 by 30 May and Form 8 by 30 October each year, plus income tax returns. Audit applies once turnover crosses 40 lakh rupees or contribution crosses 25 lakh rupees.
