The structure that can go to the public

A public limited company can offer shares to the public and can have unlimited shareholders. That capacity is the entire reason to choose it, and it comes with disclosure obligations a private company does not carry.

Most businesses should not start here. Seven shareholders, three directors and the heavier annual compliance are a real cost, and a private limited company converts into a public one when the need actually arrives.

Best suited to

  • Businesses planning to raise capital from the public
  • Companies preparing for an eventual listing
  • Ventures with a large shareholder base already
  • Groups converting an established private company

Documents you need

  • PAN and Aadhaar of every director and the seven subscribers
  • Passport size photographs
  • Address proof for each subscriber, not older than two months
  • Electricity bill for the registered office
  • No objection letter from the owner of the premises
  • Details of the proposed shareholding pattern

Scanned copies are enough to begin. We check every document against the department's current format before filing, because a rejected form costs more time than a resubmitted scan.

How the filing runs

  1. Structure and subscriber set

Seven subscribers and three directors have to be lined up before filing, and the shareholding pattern settled between them.

  2. Digital signatures and name approval

Each director gets a DSC, and the name is checked against the MCA register and the trademark database.

  3. SPICe+ filing

Incorporation, DIN allotment, PAN, TAN, EPFO and ESIC go out in one linked submission with the MOA and AOA.

  4. Certificate and first compliance

You receive the incorporation certificate and a calendar that reflects the heavier public company obligations.

Public limited company questions

How many people does a public limited company need?

At least seven shareholders and three directors. There is no upper limit on shareholders, which is the point of the structure. At least one director must be resident in India.

Does a public company have to list on a stock exchange?

No. A public limited company can stay unlisted. Listing is a separate process with the exchange and SEBI, and many public companies never take it.

How is the compliance different from a private company?

Heavier. More disclosures in the annual return, restrictions on related party transactions, statutory limits on the number of directorships, and additional requirements once thresholds on capital or turnover are crossed.

Can a private limited company convert into a public one?

Yes. It is a filing with the MCA involving a special resolution, an amended MOA and AOA, and an increase in the director and shareholder count to meet the minimums.
