Company strike off
Closing a dormant company properly, so the daily penalty stops and the directors stop carrying it.
What the fee covers
- Eligibility review against the strike off conditions
- Statement of accounts preparation
- Board and general meeting documentation
- Affidavits and indemnity bonds
- STK-2 filing and status tracking
Professional fee
14,999
professional fee, government fees at actuals
- Timeline
- 90 to 180 days
- Filed with
- Ministry of Corporate Affairs
Closing costs less than leaving it open
A company that stops trading does not stop filing. The additional fee on annual forms runs at a hundred rupees per day per form with no cap, and directors of a company in continuing default can be disqualified from every other board they sit on.
Striking off is not a shortcut around that backlog. Pending returns have to be brought up to date first, which is usually the bulk of the work. The point is that it ends, whereas an abandoned company does not.
Best suited to
- Companies that never commenced business
- Dormant entities still accruing annual filing penalties
- Founders who moved on and left the company open
- Directors facing disqualification for continuing default
Documents you need
- Certificate of incorporation and current MOA and AOA
- Statement of accounts not older than thirty days at filing
- Board resolution and special resolution approving closure
- Affidavit and indemnity bond from every director
- Proof that bank accounts have been closed
- Confirmation that all pending returns have been filed
Scanned copies are enough to begin. We check every document against the department's current format before filing, because a rejected form costs more time than a resubmitted scan.
How the filing runs
Get free consultationClear the backlog first
A company cannot be struck off with pending annual filings. Bringing them up to date is usually the bulk of the work and the bulk of the cost.
Settle and close
Liabilities are settled, assets dealt with and bank accounts closed, because the application states there is nothing outstanding.
Resolutions and affidavits
The board and members approve closure, and every director signs the affidavit and indemnity in STK-3 and STK-4.
STK-2 filing and publication
The application goes to the registrar, the name is published for objections, and the company is struck off if none are received.

Strike off questions
Which companies can be struck off?
A company that has not commenced business within a year of incorporation, or that has not carried on business for the two immediately preceding financial years and has not applied for dormant status. It must have no liabilities and no pending litigation.
Do we have to file the pending annual returns first?
Yes, up to the date the company ceased operations. This is the part founders hope to skip, and it is the part the registrar checks first.
What happens if we simply stop filing instead?
The additional fee runs at 100 rupees per day per form with no cap, the registrar can strike the company off on its own motion, and directors of a company in continuing default can be disqualified from every other board for five years.
Can a struck off company be restored?
Yes, by an application to the National Company Law Tribunal within the statutory window, but it is slower and costlier than closing properly in the first place.
