Owned by the people who produce

A producer company puts the ownership of processing, storage and marketing into the hands of the farmers or producers who supply it. Shares cannot pass to outside investors, so the collective cannot be quietly bought out from under its members.

It sits under company law rather than a state cooperative act, which means the MCA is the regulator and the accounts are filed publicly. For groups that have watched a cooperative get captured politically, that difference is the point.

Best suited to

  • Farmer producer organisations formalising as a company
  • Groups pooling procurement, grading or storage
  • Producers who want to market and export collectively
  • Collectives applying for schemes that require a registered FPO

Documents you need

  • PAN and Aadhaar of every producer member and director
  • Passport size photographs
  • Address proof for each, not older than two months
  • Proof that the members are primary producers
  • Electricity bill and no objection letter for the registered office
  • Details of the proposed activities and produce handled

Scanned copies are enough to begin. We check every document against the department's current format before filing, because a rejected form costs more time than a resubmitted scan.

How the filing runs

  1. Member and director set

Ten or more individual producers, or two or more producer institutions, plus five directors, have to be identified before filing.

  2. Objects drafting

The objects clause has to sit inside what a producer company is allowed to do, which is narrower than an ordinary company.

  3. Name approval and incorporation

The name carries Producer Company Limited, and incorporation runs through SPICe+ with the MOA and AOA.

  4. Certificate and scheme readiness

You receive the certificate along with a note on the registrations schemes usually ask an FPO to hold.

Producer company questions

Who can be a member of a producer company?

Only primary producers, meaning people engaged in an activity connected with primary produce, or producer institutions. It cannot take ordinary outside shareholders, which is what keeps ownership with the producers.

What are the minimum requirements?

Ten or more individual producers, or two or more producer institutions, or a combination of both, together with at least five directors and a minimum paid up capital of 5 lakh rupees.

Can a producer company be listed or taken over?

No. Its shares are not freely transferable to outsiders and it cannot be listed, which is a deliberate protection against the collective being bought out.

How is it different from a cooperative society?

A producer company is registered with the MCA under the Companies Act, so it files with the registrar and follows company law. A cooperative registers under a state cooperative act, with a different regulator and different politics around it.
