One person company questions
Who can register a one person company?
A natural person who is an Indian citizen. The same person cannot be the member of more than one OPC, and cannot be the nominee in more than one OPC at the same time.
Why does an OPC need a nominee?
The nominee takes over the shares if the sole member dies or becomes incapable of contracting. Their written consent in Form INC-3 is filed along with the incorporation documents.
Can an OPC be converted into a private limited company?
Yes. Conversion is a filing with the MCA that adds shareholders and directors, and it is the usual step when a solo founder brings in a co-founder or takes external investment.
Does an OPC need to hold annual general meetings?
No. An OPC is exempt from holding an AGM, but it still files AOC-4 and MGT-7A, appoints an auditor and files income tax returns each year.
